Your agreement with ReList

These Terms form a contract between you and Relist MB (ReList, we, us) when you create an account, access the Service or accept a transaction. They apply to the ReList app, website, web workspace, support and marketplace functions.

The Refund Policy, Privacy Policy, listing-specific supplier terms and any checkout disclosure form part of this agreement. If a listing-specific term conflicts with these Terms, the more specific term controls only for that transaction, unless mandatory law says otherwise.

Important:

ReList supports a supply relationship between stock suppliers and resellers. A reseller’s later sale to an external buyer happens on a separate marketplace and is not a sale by ReList.

Eligibility and legal status

You must be at least 18 years old, have legal capacity to contract and use ReList only in a supported EEA or United Kingdom country shown in the Service. Availability of a country does not guarantee that every payment, payout, courier or feature is enabled there.

Private individuals may participate. When ReList or an external marketplace asks, you must accurately declare whether you act privately or as a business/trader and update that status if your activity changes. Your legal status is determined by the facts and applicable law—not only by the label selected in an interface. Repeatedly purchasing stock or content for resale at a profit may create business, tax or consumer-law obligations.

You are responsible for any registration, tax, customs, product-safety, marketplace or professional obligations that apply to your activity. ReList may request identity, trader or tax information where required by law or a payment provider.

Roles and contracting parties

  • ReList operates the platform, supplies the account and credit functionality, displays listings, facilitates communications and may collect transaction amounts as a disclosed collection agent. ReList charges its own platform fee.
  • Stock supplier owns or controls the stock, creates the listing, sets supplier terms, provides the photo pack and physically fulfils the item after a funded sale. Unless ReList expressly says otherwise or law requires a different result, the supplier is the provider/licensor of the photo pack and the seller of the physical item to the reseller.
  • Reseller selects stock, uses an authorised photo pack to create an external listing, contracts with the external buyer in their own name, provides the shipping label and confirms ReList fulfilment.
  • External buyer and marketplace are not ReList users merely because their delivery or case information is submitted for fulfilment. Their purchase is governed by the external marketplace and the reseller’s terms with that buyer.

A user may have reseller and supplier workspaces under one account. Administrators use a separate moderation role. ReList is not an employer, business partner, franchise, agent for an external buyer, carrier or guarantor of either participant.

Accounts and public profiles

Provide accurate information and keep your credentials secure. Your username is permanent and globally unique. Profile photos and external marketplace details are optional, but your username, avatar, region, roles, ratings and verified reviews may be public.

You may not sell, transfer or share an account, impersonate another person, evade a suspension, or use another person’s payment or bank details without authority. Tell us immediately about suspected unauthorised access. We may require email, Baltic phone, payment or identity verification before enabling sensitive features.

Supplier listings and stock rules

Suppliers must describe each item accurately, own or be authorised to sell it, keep stock current, identify defects and comply with product-safety, intellectual-property and external-marketplace rules. ReList may review, approve, reject, hide or remove a listing.

A supplier sets the provider amount, photo-pack price, reseller share, minimum permitted external sale price, suggested listing range, stock quantity and whether distribution is exclusive or shared. Suggested ranges are guidance; the minimum permitted price is binding between supplier and reseller unless the supplier agrees otherwise.

For shared distribution, each reseller must receive a genuinely unique photo set. Duplicate or substantially reused files, including simple renaming, may be blocked or treated as an unusable pack. Suppliers must update stock promptly. When remaining quantity cannot cover active external listings, affected resellers must stop or pause those listings after notification.

Prices and the ReList fee

Unless checkout states otherwise, the ReList platform fee is 5% of the supplier/provider amount plus €0.50 per transaction. The fee is added on top of the provider amount for a photo-pack transaction and again for physical fulfilment funding.

The complete amount is shown before confirmation. The supplier’s stated provider amount is preserved when obligations are validly completed, subject to refunds, reversals, disputes, chargebacks, negative-balance recovery and applicable law. ReList is not VAT registered as of the effective date of these Terms.

Where the Refund Policy says the fee is retained, this applies only to the extent permitted by mandatory law. A fee that must legally be refunded will be returned through the applicable payment or credit rail.

ReList credits

On supported platforms, photo packs are purchased with consumable ReList credits. The displayed redemption value is 1 credit = €0.01 of eligible photo-pack value. Available packs and their platform-set prices are shown before purchase.

Credits do not expire, are not legal tender or a bank deposit, are non-transferable, cannot be withdrawn as cash and may be used only for eligible purchases within ReList. Supplier earnings and withdrawals remain denominated in euros.

Apple or another store may process the purchase and refund of a credit pack under its own rules. A store reversal, chargeback, fraud correction or duplicate credit can reduce the balance and may create a negative balance if the credits were already spent. Statutory consumer rights, including rights concerning unused paid credits, are not excluded.

Photo-pack orders and licence

After confirmed payment, the supplier has 24 hours to provide the promised photo set. A reseller receives a limited, personal, non-transferable licence to download and use that set only to market the identified item while authorised under the supplier terms. Ownership of the underlying images does not transfer unless explicitly stated.

The reseller may not resell the images, share them with another reseller, use them for another item, remove ownership information to mislead, or continue use after the relevant listing authority ends. The supplier promises that they own or have the necessary rights to provide the images.

If you are legally a consumer, one-off downloadable photos may be digital content. Where checkout asks you to request immediate supply and acknowledge loss of the statutory withdrawal right after supply begins, that loss applies only if all conditions required by law are met and confirmed on a durable medium. If they are not met, your mandatory withdrawal rights remain.

Photo deadlines and quality claims

If the supplier misses the 24-hour deadline, the provider photo-pack amount is returned through the original internal or payment rail, supplier earnings are reversed and an automatic verified one-star deadline review may be posted. The ReList fee is retained except where mandatory law requires otherwise.

A reseller should report an unusable delivered photo set within 48 hours after it is made available. ReList may accept a later claim and statutory rights are not shortened. One claim may be submitted per photo-pack order, with a reason and supporting evidence.

A pack is unusable if it is materially defective, inaccessible, duplicated when uniqueness was promised, or materially inconsistent with the listing or promised standard. Failure to sell, low demand, an external marketplace’s independent moderation decision or an external account restriction does not by itself prove the photos were defective.

An approved quality claim returns 50% of the provider photo-pack price and debits or reconciles the supplier amount. The ReList fee is retained except where mandatory law requires otherwise. A user may request human review of an automated deadline or administrative claim decision.

The reseller’s external sale

The reseller—not ReList—chooses where to publish the external listing, contracts with the external buyer, receives that buyer’s payment and is responsible for the accuracy and legality of that external offer. The reseller must follow the external marketplace’s terms and all mandatory duties that apply to the seller, including consumer information, cancellation, return, refund, product-conformity and tax duties where applicable.

ReList does not guarantee that an external marketplace will approve a listing or account, that an item will sell, or that a marketplace, carrier or buyer will pay. ReList is not responsible for the external marketplace’s moderation, suspension, payment, refund or dispute decision, except for responsibility that law does not permit us to exclude.

Physical fulfilment

After an external sale, the reseller must report the sale accurately, fund the supplier’s physical amount and ReList fee, and provide a valid courier label, screenshot or reference needed for shipment. The supplier must ship the correct item in the promised condition and mark it shipped within three days after confirmed funding.

The reseller cannot cancel solely for non-shipment before the three-day deadline. If the supplier misses it, the provider physical amount is returned, pending supplier earnings are reversed and an automatic verified one-star deadline review may be posted. The ReList fee is retained except where mandatory law requires otherwise.

Marking an item shipped does not release supplier funds. Funds remain pending until the reseller confirms delivery/completion, or until a separately disclosed dispute decision applies. Do not falsely withhold confirmation after valid delivery.

Lost parcels

If a parcel appears lost, the reseller must first open and reasonably pursue a case with the external marketplace or carrier, then give ReList the case reference, evidence and outcome. ReList may hold provider funds while that case remains unresolved.

ReList does not fund or guarantee carrier or marketplace compensation. After the external case closes, ReList may allocate pending provider funds or recovered amounts based on tracking, custody, submitted evidence, marketplace/carrier findings and each participant’s responsibility. A party that caused the loss or supplied false shipping information may be held responsible. Partial or denied external compensation does not automatically create a ReList-funded refund.

Rejected and returned items

If an external buyer rejects or returns an item, the reseller may:

  1. return the same item to the supplier using an authorised, trackable method before receiving the applicable physical provider-amount refund; or
  2. keep the item, in which case no physical provider-amount refund is due and the supplier funds may be released.

The item must be returned in materially the same condition, subject to handling reasonably necessary to inspect it. Proof of shipment and delivery may be required. The reseller normally bears return shipping; where a return resulted from the supplier’s material fault, misdescription or wrong item, ReList may allocate reasonable documented return cost to the supplier.

The photo-pack transaction is separate and is not automatically refunded because a physical item is returned. The ReList fee is retained except where mandatory law requires otherwise. ReList may review evidence and place funds on hold while a disagreement is resolved.

Supplier earnings and withdrawals

Supplier amounts are pending until the applicable photo or physical obligation is completed. Eligible funds move to the withdrawable balance after the required confirmation and any hold, refund or dispute is resolved.

ReList sets no supplier withdrawal minimum, although a payment provider or bank may impose technical limits. Where withdrawals are enabled, ReList aims to review and initiate an eligible request within 48 hours. Arrival in a bank account may take longer because of Stripe or bank processing, weekends, identity/compliance checks, reserves, refunds, disputes or chargebacks.

Withdrawals require successful payment-provider onboarding and accurate bank/identity information. ReList may hold, set off or reverse amounts reasonably connected to a refund, duplicate payment, fraud, chargeback, Apple reversal, negative balance or legal obligation.

Content and prohibited conduct

You retain ownership of content you create. You grant ReList a worldwide, non-exclusive, royalty-free licence for the time and purposes necessary to host, resize, display, secure, moderate and transmit that content through the Service and complete authorised transactions.

You may not list counterfeit, stolen, unsafe, illegal, recalled or rights-infringing items; upload malicious or privacy-invasive content; harass or discriminate; manipulate reviews, credits, stock or order states; evade fees; scrape the Service; or use another person’s identity, images or delivery data without authority.

Reports can cover scams, counterfeit goods, harassment, hate or abuse, sexual content, spam, privacy violations, unsafe items and other unlawful content. Contact info@joinrelist.com with enough information to identify the content and explain the concern.

Moderation, reviews and appeals

ReList may review, restrict, demote, reject or remove content; pause payments; or suspend an account where reasonably necessary to enforce these Terms, protect users, respond to an illegal-content notice, prevent fraud or comply with law. We consider the nature, severity, frequency and impact of the conduct.

Where required, we will explain the decision and available appeal route. Ask for review through support and include the relevant listing, order, message or report. Reviews must reflect a genuine transaction. Verified one-star deadline reviews may be created automatically after a confirmed missed deadline; the affected supplier can request human review.

Service availability and responsibility

We provide the Service with reasonable care and skill but do not promise uninterrupted availability, a particular sales result, marketplace approval, buyer conduct, courier performance or future feature. We may maintain, improve or discontinue features on reasonable notice where practical.

To the fullest extent permitted by law, ReList is not responsible for a supplier’s item, a reseller’s external listing or sale, an external buyer’s conduct, or an external marketplace’s or carrier’s act or decision. Each transaction participant remains responsible for their own promises, content, tax and legal duties.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, wilful misconduct, breach of non-excludable data-protection duties, or any statutory consumer right or other liability that applicable law does not permit us to exclude. For a private consumer, mandatory protections of the country where you habitually reside continue to apply.

Ending or suspending an account

You may stop using ReList or request account deletion. Active paid orders, disputes, balances, withdrawals, refunds or failed operations must be resolved first. Deletion removes or pseudonymises account data as described in the Privacy Policy but cannot revoke authorised copies already downloaded by another participant.

We may restrict or suspend access for a material or repeated breach, fraud, safety risk, legal requirement or payment problem. Where practical and legally required, we provide reasons, an opportunity to correct the issue and a review route. Terms that by nature survive—such as payment, licence limits, retained records, disputes and liability—remain effective.

Governing law and disputes

These Terms are governed by Lithuanian law. If you are a consumer, this choice does not remove mandatory protections of your habitual-residence country, and you may retain the right to bring proceedings in the courts available under applicable consumer-jurisdiction rules.

Contact info@joinrelist.com first. If a Lithuanian consumer dispute remains unresolved, you may contact the State Consumer Rights Protection Authority. Consumers elsewhere may use a competent national ADR entity where applicable. The former EU Online Dispute Resolution platform has been discontinued and is not used.

Business-user disputes that cannot be resolved informally are subject to the competent Lithuanian courts unless mandatory law requires another forum.

Changes and contact

We may update these Terms for legal, security, product or business reasons. Material changes will be notified in advance where required. Continuing to use the Service after the effective date means the new Terms govern future use; changes do not retroactively remove accrued rights.
